1. Agreement to Terms

These Terms of Service (the "Terms") form a legal agreement between you and MSY ANESTHESIA LLC, a limited liability company located at 3400 Bates Rd, Athens, Ohio 45701, United States ("MSY ANESTHESIA," "we," "us," or "our"). By accessing or using the website at www.msyanest.shop (the "Site"), you agree to be bound by these Terms. If you do not agree, do not use the Site.

Physician services are governed by the patient relationship, the office's published schedules and applicable healthcare law. If a patient agreement or informed-consent document conflicts with these Terms, that document controls within its scope.

2. The Site and Practice Information

The Site presents information about MSY ANESTHESIA LLC and the physician-office services we offer — department descriptions, care-model notes and contact channels. It is provided for general informational purposes.

Site content is not medical advice. Department and specialty descriptions are general summaries of office scope, not advice on any medical condition, treatment or procedure. Consult a qualified physician before acting on anything described here — nothing on the Site creates a physician-patient relationship.

3. Inquiries and Appointments

Submitting an inquiry through the Site or by email creates no appointment, obligation or patient relationship. Appointments form only when the office confirms a visit in writing; records requests are fulfilled subject to verification of identity and authorization.

The contact form is for office and scheduling inquiries — it is not a clinical channel and is not monitored for medical emergencies. If you believe you have a medical emergency, call 911 or go to the nearest emergency department.

4. Acceptable Use

You agree to use the Site only for lawful purposes. You must not:

• Use the Site in violation of any applicable local, state, national or international law;
• Attempt unauthorized access to the Site, its hosting environment or related systems;
• Probe, scan or test Site vulnerabilities, or breach security or authentication measures;
• Introduce malware or other harmful code, or launch denial-of-service attacks;
• Scrape or harvest Site content or data by automated means without written consent;
• Misrepresent your identity, insurance coverage or relationship to a patient in inquiries;
• Use the Site to send unsolicited commercial messages or request records without authorization.

We may suspend or block access for conduct that violates these Terms or that we reasonably believe threatens the Site or other users.

5. Intellectual Property

The Site and all of its contents — text, design, layout, graphics, marks, and the selection and arrangement of materials — are owned by MSY ANESTHESIA LLC or its licensors and protected by copyright, trademark and other intellectual property laws. "MSY ANESTHESIA" is an identifier of MSY ANESTHESIA LLC.

You may view, download and print Site pages for personal, non-commercial informational use, provided proprietary notices are kept intact. Any other reproduction, distribution, modification or republication requires our prior written consent.

6. Confidentiality of Communications

Information sent through the Site or by email before a visit is scheduled is handled under our Privacy Policy and is not itself privileged or confidential. Clinical information belongs in the intake paperwork the office provides — do not transmit medical details through the contact form.

We do not warrant that the Site will be uninterrupted, error-free or secure, that defects will be corrected, or that content is complete, current or accurate at any time. Descriptions of departments and care models are informational only — they do not constitute a representation about the services any particular office provides on any particular day.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MSY ANESTHESIA LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU FOR CLAIMS RELATED TO THE SITE EXCEED ONE HUNDRED U.S. DOLLARS (US $100). Liability for healthcare services is governed solely by the patient relationship and applicable medical-liability law, not by these Terms. Some jurisdictions do not permit certain limitations, so parts of this section may not apply to you.

10. Indemnification

You agree to indemnify, defend and hold harmless MSY ANESTHESIA LLC and its members, managers, employees and agents from claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms or misuse of the Site.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law rules. Disputes arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Athens County, Ohio, and you consent to their personal jurisdiction.

Before filing a claim, the parties will attempt in good faith to resolve disputes informally. Contact us first at zhouyating@msyanest.shop and allow at least thirty (30) days for resolution discussions.

12. General Provisions

• Severability. If a provision is found unenforceable, the remainder stays in effect.
• No waiver. Failure to enforce a provision is not a waiver of the right to enforce it later.
• Assignment. You may not assign these Terms without written consent; we may assign them in connection with a reorganization or sale.
• Entire agreement. These Terms, the Privacy Policy and any written office documentation form the entire agreement about the Site.

13. Changes to These Terms

We may revise these Terms from time to time. The "Last updated" date reflects the current version. Material changes are posted on this page; continued use of the Site after changes take effect constitutes acceptance.
